Background of the Study
Corporate mergers and acquisitions (M&As) are significant for business growth and market expansion, but they often raise ethical challenges. Issues such as conflicts of interest, insider trading, and inadequate stakeholder consultation can undermine the integrity of the M&A process (Okafor & Musa, 2023).
In Kogi State, ethical challenges in M&As are exacerbated by weak regulatory frameworks and limited enforcement mechanisms. Addressing these challenges is crucial for fostering trust and ensuring the long-term success of corporate transactions (Ahmed & Bello, 2024).
Statement of the Problem
Despite the potential benefits of M&As, ethical challenges in Kogi State often lead to stakeholder disputes, financial losses, and reputational damage. Factors such as lack of transparency, unequal power dynamics, and insufficient due diligence contribute to these issues (Ibrahim & Yusuf, 2023).
This study aims to explore the ethical challenges in M&As and propose solutions to address them.

Scope and Limitations of the Study
The study focuses on corporate M&As in Kogi State, analyzing ethical challenges from 2015 to 2025. Limitations include limited access to confidential M&A agreements and potential bias in stakeholder perspectives.
